Al
Lawn has represented businesses (privately held, publicly-traded, and charitable
enterprises) in all areas of corporate and securities law since 1985. He received his B.A. in History from Yale
University in 1981 and J.D. from Temple University of Law in 1985.
Al
began his career as an attorney and worked in private practice
for over ten years at a regional law firm based out of
Philadelphia. He left private practice in late 1995 for the
opportunity to serve as General Counsel to Talk America
(TALK-NASDAQ), a telecommunications company which had recently
been taken public. While maintaining responsibility for legal
matters, Al moved into an operational role as a senior member of
the executive management team responsible for the management,
development and implementation of the business initiatives for
Talk America. In this role, he led acquisition and integration
efforts and was principal liaison with the Board of Directors
(and its Committees). Talk America was sold to another
telecommunications provider in late 2006. Since that time, Al
has been consulting with individuals and local, national and
international businesses. In early 2006, Al began to formalize
these efforts through the formation of The Core Strength Group,
LLC which provides operational, management and strategic advice
to its clients. The Core Strength Group represents the full
gamut of corporate constituencies, including engagements
initiated by management, board of directors and investors, and
offers assessments and visibility into operations, strategic
positioning, management and financial reporting structures.
Recently, to compliment these consulting efforts, Al has joined
Flamm Walton PC in its corporate and
securities practice group.
Al has extensive experience in consulting with and
representing businesses in corporate and general business
matters; including operational initiatives of businesses,
budgetary and financial planning, corporate and financial
reporting structures, corporate governance (including compliance
with the requirements of Sarbanes-Oxley), acquisitions, equity
and debt financings and restructurings, public offerings,
private placements, secured and unsecured commercial financings,
compensation arrangements and matters, employment agreements and
a diverse array of contractual matters.
In addition, Al has served as a member of the Board of Directors
of several private and publicly-traded companies and charitable
organizations. Al currently sits on the Board of Directors of two
publicly-traded companies and serves as the Chairman of the
Audit Committee for both companies. |
